End User License Agreement (EULA)

This End User License Agreement ("Agreement") is a legal agreement between you ("User" or "you") and Lil'Goodies Audio ("Licensor," "we," or "us") for the use of audio software plugins ("Software").

By installing, copying, or using the Software, you agree to be bound by the terms of this Agreement. If you do not agree, do not install or use the Software.

1. License Grant

Subject to the terms of this Agreement and upon valid purchase, we grant you a non-exclusive, non-transferable, limited license to:

  • Install the Software on up to three (3) computers owned or controlled by you
  • Use the Software for personal and commercial music production
  • Use audio output created with the Software without restriction

2. License Types

2.1 Full License

A full license is perpetual and allows unlimited use of the Software version purchased. Minor updates (e.g., 1.0 to 1.x) are included at no additional cost.

2.2 Trial License

A trial license:

  • Is valid for a limited time period (typically 14 days)
  • Provides full functionality for evaluation purposes
  • May not be used for commercial purposes
  • Is limited to one trial per person per Software product

3. Restrictions

You may NOT:

  • Share, sell, rent, lease, or transfer your license to another person
  • Share your license key or activation credentials
  • Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software
  • Modify, adapt, translate, or create derivative works based on the Software
  • Remove, alter, or obscure any proprietary notices on the Software
  • Circumvent, disable, or interfere with license protection measures
  • Use the Software in any way that violates applicable laws

4. Activation and Machine IDs

The Software requires activation using a unique license key. During activation:

  • A hardware identifier (Machine ID) is generated from your computer's hardware
  • This identifier is sent to our servers to register the activation
  • You may deactivate machines through your account to free up activation slots

Attempting to manipulate or circumvent the Machine ID system is a violation of this Agreement.

5. Intellectual Property

The Software, including all code, graphics, user interface designs, sounds, and documentation, is the intellectual property of Lil'Goodies Audio and is protected by copyright and other intellectual property laws. This Agreement grants you a license to use the Software; it does not transfer ownership.

6. Audio Output

You own all rights to audio content created using the Software. There are no royalties, credits, or attributions required for music or audio produced with the Software.

7. Updates

We may provide updates to the Software at our discretion. Minor updates within the same major version are provided free of charge to license holders. Major version upgrades may require a separate purchase.

8. Support

Technical support is provided via email for licensed users. Reasonable efforts will be made to assist with installation, activation, and usage issues. Support does not include training, customization, or integration assistance beyond basic troubleshooting.

9. Warranty Disclaimer

THE SOFTWARE IS PROVIDED "AS IS" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SOFTWARE WILL BE ERROR-FREE, UNINTERRUPTED, OR COMPATIBLE WITH ALL HARDWARE AND SOFTWARE CONFIGURATIONS.

10. Limitation of Liability

IN NO EVENT SHALL LIL'GOODIES AUDIO BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR RELATED TO THIS AGREEMENT OR THE USE OF THE SOFTWARE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL LIABILITY UNDER THIS AGREEMENT SHALL NOT EXCEED THE AMOUNT PAID BY YOU FOR THE SOFTWARE.

11. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically if you:

  • Fail to comply with any term of this Agreement
  • Attempt to circumvent the licensing system
  • Share your license with unauthorized users

Upon termination, you must cease all use of the Software and destroy all copies.

12. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of the Netherlands, without regard to conflict of law principles. Any disputes arising under this Agreement shall be resolved in the courts of the Netherlands.

13. Entire Agreement

This Agreement constitutes the entire agreement between you and Lil'Goodies Audio regarding the Software and supersedes all prior agreements and understandings, whether written or oral.
